TERMS OF Service

These Terms of Service ("Terms") govern your use of the Cinematic.watch website and all services provided through it. Cinematic.watch is a service of Digital High Status, LLC ("we," "us," "our"), operated from Orange County, Florida. By using this website or engaging our services, you agree to these Terms.
1. Services
Cinematic provides custom-coded, scroll-driven web experiences ("Cinematics") for businesses. Our services include design, development, copywriting, image creation, managed hosting, and analytics dashboards.
2. Payment Terms
We build your Cinematic first. Payment is due only after you have reviewed the completed work and approved it for launch. No Cinematic will go live until payment is received in full.
If you are not satisfied with the completed Cinematic, you are not obligated to pay and the project will not go live.
Pricing is provided as a flat-rate quote based on the project scope. Any changes to the scope after the quote is accepted may result in additional charges, which will be communicated and approved before work proceeds.
3. Revisions
Every project includes two rounds of revisions. A "revision round" means a single set of requested changes submitted together. We will implement all changes in the set and deliver the updated version for review.
Additional revision rounds are available at $175 per scene. Revision requests must be submitted in writing (email is fine).
Revisions cover changes to copy, images, colors, layout, and animations within the existing scope of the project. Requests that significantly change the scope, add new sections, or require rebuilding completed work may be quoted as additional work.
4. Intellectual Property
Client content. You retain ownership of all content you provide to us, including text, images, logos, brand guidelines, and other materials. You represent that you have the legal right to use and provide this content.
Our work. The code, design, animations, scroll behaviors, and cinematic framework we create remain the intellectual property of Cinematic. When your hosting is active, you have a non-exclusive license to display and use your Cinematic at its designated URL. This license remains in effect for as long as your hosting is active and paid.
No source file handoff. We do not provide source code, raw files, or development assets. Your Cinematic is a hosted service, not a file delivery.
5. Hosting
Every Cinematic is hosted on a managed subdomain (yourname.cinematic.watch) or, if arranged, a custom domain pointed to our servers.
First 12 months. Hosting is included in the build price for the first 12 months after launch.
After 12 months. Continued hosting is $29/month. This covers hosting, SSL, analytics dashboard access, and minor text or image updates.
Non-payment. If hosting fees are not paid within 30 days of the due date, we reserve the right to take the Cinematic offline. Files will be retained for 90 days after suspension. After 90 days, files may be permanently deleted.
Cancellation. You may cancel hosting at any time by notifying us in writing. Your Cinematic will remain live through the end of the current paid period. No partial refunds for unused time.
6. Uptime and Availability
We make reasonable efforts to keep all hosted Cinematics available and performing well. However, we do not guarantee uninterrupted service. Downtime may occur due to server maintenance, hosting provider issues, internet outages, security updates, or other technical circumstances beyond our control.
We are not liable for any losses, damages, or missed opportunities resulting from temporary or extended downtime.
7. Limitation of Liability
This is important - please read it carefully.
To the maximum extent permitted by law, the total liability of Cinematic for any and all claims arising from or related to our services - whether in contract, tort, or otherwise - shall not exceed the total amount you paid to us for the specific project in question.
In no event shall Cinematic be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business opportunities, or any other intangible losses, even if we have been advised of the possibility of such damages.
This limitation applies to all claims, including but not limited to: website downtime, technical errors, design or copy that does not produce expected results, third-party service failures, and hosting interruptions.
8. Client Responsibilities
You are responsible for:
- Providing accurate and truthful content for your Cinematic
- Ensuring you have legal rights to all materials you provide (images, text, logos, trademarks)
- The legality of whatever your Cinematic promotes, sells, or advertises
- Reviewing and approving your Cinematic before launch
- Timely payment of all invoices
- Responding to revision requests and approvals in a reasonable timeframe
If a project stalls for more than 60 days due to client non-response, we reserve the right to consider the project complete and invoice the remaining balance.
9. Indemnification
You agree to indemnify and hold harmless Cinematic, its owner, and its contractors from any claims, damages, losses, or expenses (including legal fees) arising from: your content, your use of the Cinematic, your violation of any law or third-party rights, or any dispute between you and your customers or audience.
10. Acceptable Use
We reserve the right to refuse or discontinue service for any Cinematic that promotes illegal activity, hate speech, harassment, fraud, or any content we determine to be harmful or unethical. This determination is at our sole discretion.
11. Third-Party Services
Our services may integrate with or rely on third-party services including hosting providers, analytics tools, email delivery services, and payment processors. We are not responsible for the availability, performance, or policies of any third-party service.
12. Modifications to These Terms
We may update these Terms at any time. Changes take effect when posted to this page. For active hosting clients, we will make reasonable efforts to notify you of significant changes via email. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, United States. Any disputes arising from these Terms or our services shall be resolved in the courts of Orange County, Florida.
Before initiating any legal action, both parties agree to attempt to resolve disputes informally by contacting each other in writing and allowing 30 days for resolution.
14. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
15. Entire Agreement
These Terms, together with any signed Client Service Agreement and our Privacy Policy, constitute the entire agreement between you and Cinematic regarding the use of our services.
